This component not only refers to the existing ownership structure but also encompasses other forms of participation – or participation options – that can be affected in a M&A process.

It is quite common for companies, especially Brazilian startups, to seek capitalization through convertible notes, crowdfunding, vesting, and other financial options. All these pre-existing relationships reflect direct and/or indirect equity stakes, becoming critical information that investors need to evaluate, often even before due diligence begins.

A well-structured cap table not only demonstrates clarity and organization within the company but also signals to investors that there is efficient strategic control over the allocation of equity, which is essential for making financial decisions.
